DYM maintains a stable corporate governance structure to ensure responsible decision-making and transparent management. The Board of Directors deliberates on major management issues, supervises the CEO and key executives, and ensures balance and transparency throughout all business activities. In accordance with the Commercial Act and the Articles of Incorporation, the Board consists of at least three directors and one auditor, maintaining an efficient decision-making system centered on internal experts with professional expertise and experience. The Board regularly reviews key business plans and financial performance, holding extraordinary meetings when necessary to facilitate prompt decision-making. Considering future growth and changes in the business environment, DYM is reviewing the establishment of specialized committees, such as an ESG Committee, and the introduction of outside directors. We are continuously enhancing the independence and expertise of our Board operations to establish a sustainable management system.
DYM considers ethical judgment and transparent decision-making to be the core of its corporate culture. Through our "Charter of Ethics" and "Code of Ethics," we clearly define behavioral standards for employees and conduct all business activities based on the principles of honesty, fairness, and integrity. These ethical standards serve as guidelines to strengthen legal compliance and responsible ethics among employees, covering specific practices such as the prevention of conflicts of interest, prohibition of bribery, protection of customer information, fair trade, and whistleblower protection. Additionally, based on our "Ethical Management Manual," we administer an anti-corruption and ethical management pledge; all employees promise to comply with ethical regulations and perform their duties with integrity upon hiring. We focus on prevention to avoid ethical risks, operating a system that detects anomalies early through regular checks and internal monitoring, and taking prompt action if issues arise. We are strengthening physical, technical, and administrative protection measures to guarantee the confidentiality, integrity, and availability of information. Information security activities are conducted as part of enterprise-wide risk management, focusing on information system access control, data backup and recovery, and security incident prevention and response systems.
